1. Introduction

1.1 Before Using the Platform

Before signing up on the Jetron Ticket platform, you should carefully read, understand, and accept these Terms of Use (“Terms” or “T&C”), as they govern your access to and use of our Services (as defined below). If you do not agree to these Terms, you may not use or access the Platform in any manner.

1.2 Agreement Between You and Jetron Ticket

These Terms constitute a legally binding agreement between:

• YOU; and
• Jetron Ticket (“Jetron Ticket”, “Jetron”, “we”, “our”, or “us”),

which expression shall, where the context permits, include its affiliates, subsidiaries, successors, assigns, employees, representatives, and agents.

1.3 Scope of These Terms

These Terms govern your use of:

• the Jetron Ticket website;
• mobile applications;
• APIs;
• event management tools;
• ticketing systems;
• payment services;
• communication tools; and
• all affiliated products and services operated by Jetron Ticket,

collectively referred to as the “Platform” or “Services.”

1.4 Changes to These Terms

We reserve the right to amend, vary, update, or replace these Terms at any time. Any updated Terms become effective immediately upon publication on the Platform unless otherwise stated.

Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.

2. Definitions

Unless the context otherwise requires, the following expressions shall have the meanings assigned to them below:

2.1 Definitions

“Event Organizer” means any individual, company, promoter, venue operator, brand, or entity that creates, hosts, manages, promotes, or sells tickets to an event using the Platform.

“Event Attendee” or “Ticket Buyer” means any person who purchases, reserves, receives, or uses a ticket through the Platform.

“User” means any individual or entity accessing or using the Platform.

“Services” means all ticketing, payment facilitation, event management, attendee management, communication, promotional, and related services offered by Jetron Ticket.

“Platform” means the Jetron Ticket website, applications, systems, software, and affiliated technologies.

“Booking Fees” means all processing, convenience, administrative, transaction, or service fees charged in connection with ticket purchases.

“Content” means any text, graphics, logos, images, audio, videos, trademarks, event information, advertisements, or materials uploaded or displayed on the Platform.

“User Account” means a registered profile created by a User to access the Platform.

3. Purpose, Acceptance, and Use

3.1 Purpose

These Terms regulate the relationship between Jetron Ticket and Users of the Platform and set out the conditions upon which Users may access and use the Services.

3.2 Acceptance

By registering, accessing, browsing, or using the Platform, you acknowledge and agree that:

• you have read and understood these Terms;
• you agree to be legally bound by them;
• you consent to our Privacy Policy and related policies;
• you have the legal authority to enter into binding agreements; and
• all information provided by you is accurate and complete.

If you do not agree to these Terms, you must discontinue use of the Platform immediately.

3.3 Eligibility

The Platform is intended solely for persons who are at least eighteen (18) years old.

By using the Platform, you represent and warrant that:

• you are at least 18 years old; and
• your use of the Platform does not violate any applicable law or regulation.

If you are acting on behalf of a company or organization, you further represent that you have authority to bind such entity to these Terms.

3.4 Electronic Nature of Services

You acknowledge and agree that Jetron Ticket provides its Services electronically through the Platform and that support, notices, and communications may also be delivered electronically.

4. Access to the Platform

4.1 User Registration

To access certain Services, you may be required to create a User Account.

You agree to:

• provide true, accurate, current, and complete information;
• maintain and promptly update your information;
• keep your login credentials confidential; and
• immediately notify us of any unauthorized access to your account.

4.2 Account Responsibility

You are solely responsible for:

• maintaining the security of your account;
• all activities conducted through your account; and
• any loss arising from unauthorized access resulting from your negligence or failure to safeguard your credentials.

4.3 Verification

Jetron Ticket reserves the right to:

• request additional verification documents;
• verify User information independently;
• suspend or restrict access pending verification; and
• reject or terminate accounts at our sole discretion.

5. Nature of the Services

5.1 Role of Jetron Ticket

Jetron Ticket is a technology platform that enables Event Organizers to create events, sell tickets, and manage attendees.

Unless expressly stated otherwise, Jetron Ticket is not:

• the organizer of listed events;
• a venue operator;
• a promoter;
• a sponsor; or
• a participant in the contractual relationship between Event Organizers and Ticket Buyers.

5.2 Relationship Between Organizers and Attendees

When a Ticket Buyer purchases a ticket through the Platform, the agreement relating to the event exists solely between:

• the Event Organizer; and
• the Ticket Buyer.

Jetron Ticket merely facilitates the transaction and shall not be liable for obligations owed by Event Organizers to attendees.

6. Event Organizer Responsibilities

6.1 Organizer Obligations

Event Organizers agree to:

• provide accurate and complete event information;
• ensure event details remain updated at all times;
• obtain all necessary licenses, permits, approvals, and authorizations;
• comply with all applicable laws and regulations;
• fulfill all obligations owed to attendees;
• handle attendee support and communication directly;
• respond promptly to attendee complaints or refund requests; and
• ensure that all event content uploaded to the Platform is lawful and non-infringing.

6.2 Event Changes

Event Organizers must immediately notify Jetron Ticket and affected attendees of:

• cancellations;
• postponements;
• venue changes;
• changes to headline performers;
• significant modifications to event programming; or
• any material change affecting attendees.

6.3 Prohibited Organizer Activities

Event Organizers shall not:

• create fake or misleading events;
• engage in ticket fraud or unauthorized resale;
• use the Platform for unlawful activities;
• collect payments externally without authorization while using the Platform solely as a reservation system;
• upload infringing, defamatory, obscene, hateful, or illegal content; or
• engage in conduct likely to damage the reputation of Jetron Ticket.

6.4 Organizer Liability

Event Organizers accept full responsibility for:

• their events;
• attendee claims;
• refunds;
• venue compliance;
• safety obligations;
• taxes; and
• regulatory obligations.

Jetron Ticket shall not be liable for disputes arising between Event Organizers and attendees.

7. Ticket Buyer Responsibilities

7.1 Ticket Usage

Ticket Buyers agree to:

• use tickets only for lawful purposes;
• comply with venue and event rules;
• review event information before purchasing tickets; and
• comply with age restrictions and admission requirements.

7.2 Unauthorized Resale

Tickets may not be:

• resold commercially;
• duplicated;
• transferred unlawfully; or
• exploited for commercial gain without authorization.

Jetron Ticket reserves the right to cancel tickets suspected of unauthorized resale or fraud.

8. Payments, Fees, and Settlements

8.1 Payments

All ticket purchases must be paid in full at the point of purchase.

Users authorize Jetron Ticket and its payment partners to process payments related to transactions on the Platform.

8.2 Booking and Processing Fees

Jetron Ticket may charge:

• booking fees;
• convenience fees;
• processing fees;
• delivery fees; and
• related administrative charges.

Such fees may be non-refundable except where required by law.

8.3 Organizer Settlements

Event proceeds may be held temporarily before payout to Event Organizers.

Jetron Ticket reserves the right to:

• withhold settlements;
• delay payouts;
• reverse transactions; or
• deduct chargebacks and penalties,

where fraud, disputes, suspicious activity, regulatory obligations, or attendee claims arise.

8.4 Taxes

Event Organizers are solely responsible for:

• tax collection;
• reporting obligations;
• remittances; and
• compliance with applicable tax laws.

9. Refunds, Cancellations, and Chargebacks

9.1 Refund Policies

Refunds are primarily governed by the Event Organizer’s refund policy unless otherwise stated by Jetron Ticket.

9.2 Event Cancellation

Where an event is cancelled, attendees may be entitled to refunds in accordance with applicable laws and policies.

Jetron Ticket reserves the right to process refunds directly where necessary.

9.3 Event Postponement or Material Changes

Where events are postponed or materially altered, attendees may be eligible for refunds subject to the applicable policy and circumstances.

9.4 Chargebacks

Where chargebacks or payment disputes occur, Jetron Ticket reserves the right to:

• investigate transactions;
• provide evidence to payment processors;
• deduct disputed amounts from organizer settlements; and
• suspend organizer accounts pending investigation.

9.5 Non-Refundable Fees

Except where prohibited by law, booking fees, processing fees, and related charges may remain non-refundable.

10. Prohibited Uses

10.1 Users shall not:

• use the Platform for illegal or fraudulent activities;
• engage in money laundering or terrorism financing;
• impersonate another individual or organization;
• upload viruses, malware, or harmful code;
• scrape, reverse engineer, or exploit the Platform;
• infringe intellectual property rights;
• upload unlawful, hateful, or abusive content;
• create fake transactions or manipulate ticket sales; or
• use automated systems, bots, or scripts without authorization.

10.2 Enforcement

Jetron Ticket reserves the right to:

• suspend accounts;
• remove content;
• cancel events;
• restrict access; and
• cooperate with law enforcement agencies,

where prohibited conduct is suspected.

11. Privacy and Data Protection

11.1 Data Processing

Your use of the Platform may involve the transmission and processing of personal information.

By using the Platform, you consent to the collection, use, storage, and transmission of your information as reasonably necessary to provide the Services.

11.2 Compliance with Data Protection Laws

Jetron Ticket processes personal data in accordance with:

• the Nigeria Data Protection Act (NDPA);
• applicable regulations; and
• our Privacy Policy.

11.3 Organizer Data Responsibilities

Event Organizers are independently responsible for complying with applicable data protection obligations relating to attendee information accessed through the Platform.

12. Intellectual Property Rights

12.1 Ownership

All trademarks, logos, software, designs, systems, and materials relating to Jetron Ticket are owned by Jetron Ticket or its licensors.

12.2 User Content License

Users grant Jetron Ticket a worldwide, non-exclusive, royalty-free license to:

• use;
• Reproduce;
• display;
• distribute; and
• promote uploaded content,

for purposes connected with operating and promoting the Services.

12.3 Infringement

Users warrant that uploaded content does not infringe third-party rights.

Jetron Ticket reserves the right to remove infringing content without notice.

13. Third-Party Services

Jetron Ticket may integrate with third-party:

• payment providers;
• analytics providers;
• communication services;
• advertising tools; and
• external websites.

We are not responsible for:

• third-party services;
• external websites;
• third-party policies;
• downtime; or
• third-party conduct.

Use of such services is at your own risk.

14. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

JETRON TICKET DOES NOT WARRANT THAT:

• THE PLATFORM WILL BE UNINTERRUPTED;
• THE PLATFORM WILL BE ERROR-FREE;
• DEFECTS WILL BE CORRECTED;
• THE PLATFORM WILL ALWAYS BE SECURE; OR
• THE SERVICES WILL MEET EVERY USER’S EXPECTATIONS.

TO THE FULLEST EXTENT PERMITTED BY LAW, ALL IMPLIED WARRANTIES ARE DISCLAIMED.

15. Limitation of Liability

JETRON TICKET SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES;
• CONSEQUENTIAL DAMAGES;
• LOSS OF PROFITS;
• BUSINESS INTERRUPTION;
• LOSS OF DATA;
• REPUTATIONAL DAMAGE;
• EVENT CANCELLATIONS;
• VENUE ISSUES;
• ATTENDEE DISPUTES;
• PAYMENT PROCESSOR FAILURES; OR
• THIRD-PARTY ACTIONS.

OUR TOTAL LIABILITY RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID TO JETRON TICKET BY THE RELEVANT USER IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

NOTHING IN THESE TERMS EXCLUDES LIABILITY WHICH CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

16. Indemnification

You agree to indemnify, defend, and hold harmless Jetron Ticket, its affiliates, directors, officers, employees, partners, and agents from and against any claims, liabilities, losses, damages, costs, expenses, penalties, or legal fees arising from:

• your breach of these Terms;
• your use of the Platform;
• disputes with attendees or organizers;
• infringement of third-party rights; or
• violations of applicable law.

17. Suspension and Termination

17.1 Suspension Rights

Jetron Ticket reserves the right to suspend, restrict, or terminate access to the Platform:

• with or without notice;
• where these Terms are violated;
• where fraud is suspected;
• where required by law; or
• where User conduct creates reputational or operational risk.

17.2 Survival

Termination shall not affect obligations intended to survive termination, including:

• indemnities;
• payment obligations;
• dispute resolution clauses; and
• liability limitations.

17.3 Cooperation with Authorities

Jetron Ticket may cooperate with regulators, law enforcement agencies, or courts regarding investigations involving the Platform.

18. Force Majeure

Jetron Ticket shall not be liable for delays or failures resulting from causes beyond our reasonable control, including:

• acts of God;
• internet outages;
• cyberattacks;
• government actions;
• labor disputes;
• terrorism;
• natural disasters;
• pandemics; or
• failures of third-party providers.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

19.2 Amicable Resolution

Parties agree to first attempt to resolve disputes amicably through good-faith negotiations.

19.3 Arbitration

Any dispute not resolved within thirty (30) days shall be referred to arbitration in Lagos State, Nigeria in accordance with the Arbitration and Mediation Act 2023.

The decision of the arbitrator shall be final and binding.

20. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy and related policies, constitute the entire agreement between Users and Jetron Ticket regarding use of the Platform.
